The Delaware Organization of Nurse Executives, hereinafter referred to as DONE, is a non-profit organization established exclusively for charitable, scientific, and educational purposes. The organization shall be conducted so that no part of its income or earnings will benefit any member, director, officer, or other individual.
Article II - Purpose and Objectives
The purposes and objectives of DONE are to advance the development of effective patient care administration in healthcare organizations/agencies by
1. Providing leadership and direction for nurse leaders;
2. Providing a platform for consultation and direction within the healthcare field from which nurse leaders may speak on nursing and healthcare issues;
3. Channeling and disseminating information to nursing and other healthcare disciplines;
4. Providing cohesiveness and mutual support to nursing;
5. Collaborating with nursing and other healthcare professionals to resolve healthcare issues;
6. Acting as a resource to other nurse leaders and healthcare organizations;
7. Generating solutions to common problems in nursing;
8. Evaluating and nominating candidates to serve on the Board of Nursing;
9. Promoting educational programs and activities to strengthen nursing administration, management, and leadership; and
10. Promoting collaboration among nurse leaders, nurse educators and others as appropriate in order to enhance the development of nurse executives and nurse educators.
Article III – Membership
The DONE shall have 5 categories of membership: full members, associate members, affiliate members, honorary members, and institutional members.
1. Full Members Full members of DONE shall consist of registered nurse (RN) leaders or aspiring leaders and includes RNs who (a) hold an organizational role in management or administration, (b) faculty in undergraduate and graduate nursing programs, (c) consultants in nursing and healthcare administration, (d) managers and administrators in professional health-related organizations, (e) editors of professional health-related journals and magazines, (f) students in nursing administration and health services administration, (g) and executive directors of DONE affiliated groups. Members who, because of change in position or employment, or who do not continue to meet the criteria for full membership may extend their membership as a full member for two years.
Full members have the right to vote on all issues brought forth by the membership, amendments to bylaws, and hold office in the DONE.
2. Affiliate Members Affiliate members of the DONE shall be individuals who are not registered nurses but who support the purposes and objectives of the organization. They may attend the DONE business and educational meetings but cannot vote or hold office in the DONE. Affiliate members pay the same dues as full members.
3. Honorary Members The DONE Board of Directors confers honorary membership for life upon recommendation and action. Honorary members may attend the DONE business and educational meetings but cannot vote or hold office in the DONE. Honorary members do not pay dues to the DONE but are encouraged to make donations to support the organization.
4. International Members International membership shall be available to professional nurses who have the equivalent of registered nurse licensure in a country other than the United States and who reside outside the United States. International members may attend business and educational meetings and have voting privileges. They may not hold office in the DONE. Communications with international members shall be in English and pay the same dues as full members.
5. Retired Members A retired member shall be a full DONE members or member of another AONE State Organization for at least five years before retirement from professional practice. Retired members may attend business and conference meetings and have voting privileges. They may not hold officer positions on the Board of the DONE.
6. Unlicensed Student Members Unlicensed student members preparing for registered nursing may attend DONE business and educational meetings but will not be considered Full Members, not permitted to vote in the meetings of, hold office in, or vote for Directors or Officers of the DONE. There is no Annual Membership fee for unlicensed student nurses.
Article III - Dues and Other Monies
1. Annual dues will be on a calendar year commencing on January 1.
2. New members who join the DONE during the last quarter of the year will be carried forward as new members for the next calendar year.
3. Notification of an increase in membership dues shall be given to DONE members 30 days prior to initiation.
4. All dues shall become the property of the DONE. No portion of dues will be refunded because of membership termination.
5. The Treasurer of DONE shall handle all funds of the organization.
6. Any funds or property that the Board of Directors may accept as donations to further the work or programs of the DONE shall become the property of the DONE and shall be used for the purpose designated by the donor, in keeping with the purpose and objectives of the DONE.
7. Dues and Other Monies. The funds of the organization will be audited annually by two DONE members appointed by the Board.
Article IV – Officers, Duties, and Vacancies
In keeping with the requirements of the AONE Affiliation Agreement, all officers shall be full members of AONE. Terms of office shall be based on a calendar year commencing on January 1. All elected officers serve for a two-year period
Section 1: Officers a. The elected officers shall be considered the Board of Directors and consists of the President, President Elect, Secretary, Treasurer, and Immediate Past President. The Board of Directors shall have the power to transact all regular business of the DONE between regular business meetings. The Board of Directors shall operate on an Ad Hoc basis for immediate and imperative decisions that do not meet the timeliness of regular meetings The Board of Directors is empowered to call upon services of other members as appropriate.
b. The officers shall be elected by the full membership of DONE. Only those members with paid dues status will be eligible to participate in the voting process.
c. The secretary and president elect shall be elected in the even years; the treasurer shall be elected in the odd years.
Section 2: Duties of Officers a. The President shall: 1. Be the CEO of DONE 2. Preside at all meetings of DONE and the Board of Directors 3. Supervise the activities of DONE 4. Present an annual report to the membership at the annual meeting of AONE 5. Appoint the chairs of authorized committees 6. Foster relationships with AONE, AHA, DHA, DNA, and other associations and organizations, and 7. Perform other duties as may be authorized by the Board of Directors
b. The President Elect shall: 1. Perform all duties and assume responsibilities of the President in the absence or incapacity of the President, and 2. Perform such other duties as may be authorized by the Board if Directors.
c. The Immediate Past President shall: 1. Make recommendations for committee chairs as necessary, 2. Advise the president, and 3. Perform other duties as authorized by the Board of Directors.
d. The Secretary shall: 1. Inform the membership of meetings, 2. Record, prepare, and distribute the minutes of all formal meetings, 3. Maintain an accurate, timely membership roster of DONE, 4. Maintain the archival files of the organization, and 5. Perform other such duties as may be authorized by the Board of Directors.
e. The Treasurer shall: 1. Prepare an annual budget, 2. Maintain financial records, 3. Assist the secretary in the maintenance of an accurate and timely roster of the membership, 4. Monitor the financial status of the organization, 5. Provide a monthly reports to DONE, 6. Perform other duties as authorized by the Board of Directors, and 7. Coordinate and assist with the annual audit.
Section 3: Vacancies a. If the office of President becomes vacant, the President Elect shall succeed to the office of President and shall continue to serve as President for the subsequent term.
b. If the office of the President Elect becomes vacant, a special election shall be held. The person elected shall complete the unexpired term and automatically assume the presidency at the end of that term.
c. If the office of the President and President Elect become vacant, the Board of Directors shall appoint a President Pro Tem until a special election can be held
d. If the office of Secretary or Treasurer becomes vacant, the Board of Directors shall appoint member to serve the remaining portion of the unexpired term.
Article V – Meetings
1. There shall be at least bi-monthly meetings at the discretion of the Board of Directors for the transaction of business.
2. Additional meetings may be called by the President of the DONE, by 2/3 of the Board, or by 2/3 of the voting membership. Agenda items shall be included in the announcement of the meeting.
Article VI - Amendments
1. Proposed amendments to the bylaws may originate from any member of the DONE.
2. Amendments shall be presented to the membership at least 15 days in advance of a meeting and approved by 2/3 of the voting members present.
Article VII - Standing Committees
The DONE shall have the following standing committees: Membership, Nominations, and Legislation.
1. Membership Committee a. Membership Committee is recruits members and facilitates their participation in the DONE. b. This committee consist of an appointed chairperson and at least 2 members of the DONE.
2. Nominations Committee a. The Chair of the Nominations Committee is the most recent Past-President. b. The Board appoints 3 members for the Nominations Committee, one from each county and from different organizations. c. The Chair of the Nominations presents a slate of candidates to the Board to determine eligibility of candidates. d. Elections may be conducted by U.S. Mail or electronically. e. A ballot listing the names and a brief biographical sketch of candidates shall be sent to each member no less than 15 days prior to the election. f. The Nominations Committee shall tabulate the vote. g. The results of the election shall be communicated to members at the next regularly scheduled meeting of the DONE.
3. Legislation Committee a. Monitors and influences legislative healthcare issues on a state and national level, b. Brings issues to the general meeting for input and approval, c. Creates or effects change in legislation as it is being drafted, and d. Provides support or opposition to bills before the Legislature. e. This committee will consist of an appointed Chairperson and 2members of the DONE
Article VIII - AD Hoc Committees and Liaisons
1. Ad Hoc Committees provide a mechanism for action should a particular issue require additional study and or action beyond the scope of a general membership meeting. Ad hoc committees, such as the Bylaws Committee, may be formed, abandoned, or reinstituted as needed.
2. Liaison representatives may be formed with other organizations in lieu of having standing committees.
A. Bylaws Committee. The Bylaws Committee shall be convened as needed with the appointment of a chair and two members of the DONE.
B. Education Liaison Representative. A representative from the DONE shall sit on the Delaware Nurses’ Association (DNA) Education Committee to coordinate educational programs and activities that are relevant to the healthcare environment and nursing leadership. This representative must also be a member of DNA.
C. Research Liaison Representative. A representative from the DONE shall sit on the Research Committee of DNA to (a) serve as an advisor, (b) provide assistance or help in locating resources for members wishing to engage in research activities, (c) engage in activities that support AONE Research Priorities in Nursing and Healthcare Administration, and (d) collaborate with other professional organizations that support nursing research. This liaison representative must be a member of the DNA.
Article IX – Dissolution
DISSOLUTION Upon dissolution, the assets of the DONE shall be distributed to an organization enjoying am exempt status under #501(c)(3) status of the Internal Revenue Code or successor statutory authority.
